Entity Terms And Conditions

1. Purpose of These Entity Terms

These Goat Finance LLC Entity Terms and Conditions apply where Goat Finance LLC is identified as your contracting entity during onboarding, in your customer profile, in a transaction confirmation, in applicable Product Terms, or in another written communication from Goat Finance.

These Entity Terms form Part A of the Goat Finance LLC Legal Pack and must be read together with:

  1. the Goat Finance Global Terms and Conditions;

  2. the Goat Finance Global Privacy Policy;

  3. Part B - Goat Finance LLC Privacy Notice;

  4. the Goat Finance Global Acceptable Use Policy;

  5. any applicable Product Terms of Use;

  6. any applicable product disclosure, partner disclosure, risk disclosure, fee schedule or signed agreement.

These Entity Terms address only matters specific to Goat Finance LLC. Product-specific rules are set out in the applicable Product Terms or product disclosure.

3. Relationship With the Global Terms

The Goat Finance Global Terms and Conditions set out the general terms that apply across the Goat Finance organization.

These Entity Terms supplement the Global Terms only for LLC-specific matters, including:

  1. LLC legal identity;

  2. LLC contact details;

  3. LLC regulatory status;

  4. LLC service limitations;

  5. LLC privacy-controller reference;

  6. LLC governing law;

  7. LLC dispute resolution;

  8. LLC-specific jurisdictional and regulatory statements.

If there is a conflict between these Entity Terms and the Global Terms, these Entity Terms prevail only for LLC-specific matters. For all general matters, the Global Terms apply

4. When Goat Finance LLC May Be Your Contracting Entity

Goat Finance LLC may be your contracting entity where, following Goat Finance’s onboarding, eligibility assessment and routing process, you are routed to LLC for a product or service made available by or through LLC.

Goat Finance LLC generally serves eligible customers routed outside the EU/EEA, Switzerland and the United Kingdom. However, LLC may also be the contracting entity for customers in other jurisdictions, including EU/EEA, Swiss or UK customers, where legally permitted, appropriately routed, and approved through Goat Finance’s onboarding and compliance process.

Routing to Goat Finance LLC does not guarantee access to any specific product or service. Each product or service remains subject to eligibility, onboarding, Product Terms, partner approval where relevant, applicable law and Goat Finance’s risk appetite.

5. Regulatory Status and Limitations

Goat Finance LLC is registered with the Financial Crimes Enforcement Network as a Money Services Business.

Goat Finance LLC is not a bank, depository institution, trust company, broker-dealer, investment adviser, investment company, securities exchange, futures commission merchant, or tax adviser.

FinCEN’s public materials describe MSB registration as a federal registration requirement for covered MSBs and note that MSB registration must be renewed every two years; this registration should not be treated as a bank charter, deposit-taking license, investment authorization or product-specific approval. Unless expressly stated in applicable Product Terms, partner terms, disclosures or signed agreements, Goat Finance LLC does not provide:

  1. bank accounts;

  2. depository accounts;

  3. general-purpose payment accounts;

  4. e-money accounts;

  5. stored value accounts;

  6. digital asset custody;

  7. fiat custody;

  8. investment services;

  9. brokerage services;

  10. portfolio management;

  11. financial, legal, tax or investment advice;

  12. account services for your own customers, users or clients.

Where a product involves money transmission, banking, payment, account, custody-connected, partner-enabled or infrastructure services, those services may be provided or supported by licensed third-party partners and will be subject to separate Product Terms, partner disclosures, partner approval and product-specific onboarding.

The existing LLC-specific materials also distinguish standard crypto exchange from bank, account, payment or financial enablers-supported products unless separately documented.

6. No General Availability or Solicitation

Publication of these Entity Terms does not mean that any Goat Finance LLC product or service is available in your jurisdiction.

Nothing in these Entity Terms constitutes:

  1. an offer of services;

  2. a solicitation;

  3. a financial promotion;

  4. an invitation to transact;

  5. investment advice;

  6. legal advice;

  7. tax advice;

  8. a representation that you are eligible to use any Goat Finance LLC product or service.

Goat Finance LLC will provide products or services only where you have been routed to LLC, approved through the applicable onboarding process, and presented with the relevant Product Terms, disclosures and acceptance package.

7. Privacy and Data Protection

Where Goat Finance LLC acts as controller for your personal data, it processes personal data in accordance with:

  1. the Goat Finance Global Privacy Policy;

  2. the applicable Phase 1 Privacy Notice;

  3. the Goat Finance LLC Privacy Notice;

  4. any product-specific privacy notice or service-specific partner data-sharing disclosure.

The Global Privacy Policy explains that the applicable controller depends on the onboarding phase, product, contracting entity, jurisdiction, partner framework and service route. It also explains that Phase 1 is generally controlled by Goat Finance SAGL and that the Phase 2 controller is generally the Goat Finance entity responsible for the relevant product or service.

The Goat Finance LLC Privacy Notice is a privacy disclosure, not an ordinary contractual term. You may be asked to acknowledge that you have received and reviewed it.

8. Partner-Supported Services

Some Goat Finance LLC products or services may be supported by third-party partners, including banking, payment, liquidity, settlement, compliance, KYC/KYB, blockchain analytics, technology or infrastructure partners.

Partner-supported products or services may require:

  1. additional onboarding;

  2. additional due diligence;

  3. partner approval;

  4. additional Product Terms;

  5. partner disclosures;

  6. partner acknowledgments;

  7. service-specific privacy and data-sharing disclosures;

  8. signed agreements.

Approval by Goat Finance LLC for one product does not imply approval for any other product or partner-supported service.

10. Governing Law

These Entity Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the State of Florida, United States of America, without regard to conflict of law principles.

If you are an EU/EEA, Swiss, UK or other protected consumer or customer, this governing law clause does not deprive you of any mandatory rights or protections that cannot lawfully be excluded under the law that would otherwise apply to you.

11. Dispute Resolution

The parties shall first attempt to resolve any dispute arising out of or in connection with these Entity Terms or your relationship with Goat Finance LLC through good faith negotiations.

If the dispute is not resolved within thirty (30) days, either party may initiate binding arbitration under the rules of the American Arbitration Association in Miami-Dade County, Florida.

The arbitration shall be conducted by a single arbitrator, and the decision shall be final and binding on both parties.

Nothing in this clause prevents either party from seeking urgent injunctive, equitable or provisional relief before any court of competent jurisdiction.

If applicable law does not permit a dispute to be resolved by arbitration, or if a mandatory consumer protection rule gives you non-waivable rights before a court, regulator or complaint body, this clause applies only to the maximum extent permitted by applicable law.

The Florida law and AAA arbitration structure is consistent with the earlier LLC-specific terms draft.

12. Changes to These Entity Terms

Goat Finance LLC may update these Entity Terms from time to time to reflect:

  1. changes in law;

  2. changes in regulatory status;

  3. changes in contact details;

  4. changes in entity structure;

  5. changes in partner requirements;

  6. operational changes;

  7. governance changes;

  8. risk or compliance requirements.

The updated version will be made available on https://goatfinance.io or through the relevant onboarding, customer or legal channel.

Part B

Goat Finance Llc Privacy Notice

1. Purpose of This Privacy Notice

This Goat Finance LLC Privacy Notice explains how Goat Finance LLC processes personal data when it acts as controller in connection with Phase 2 onboarding, service activation, product use, transaction review, compliance monitoring, customer relationship management or another activity for which Goat Finance LLC determines the purposes and essential means of processing.

This Privacy Notice supplements, and must be read together with:

  1. the Goat Finance Global Privacy Policy;

  2. the applicable Phase 1 Privacy Notice;

  3. the applicable Product Terms;

  4. any product-specific privacy notice;

  5. any service-specific privacy and partner data-sharing disclosure;

  6. any partner-related privacy disclosure presented to you.

This Privacy Notice does not repeat the full Global Privacy Policy. It explains only the LLC-specific privacy information that applies when Goat Finance LLC is the relevant controller.

3. When This Privacy Notice Applies

This Privacy Notice applies when Goat Finance LLC is responsible for processing personal data in connection with:

  1. Phase 2 onboarding;

  2. customer due diligence or enhanced due diligence;

  3. product or service activation;

  4. transaction review or transaction monitoring;

  5. compliance screening;

  6. risk management;

  7. customer support;

  8. complaints handling;

  9. service administration;

  10. legal, regulatory, tax, audit or recordkeeping obligations;

  11. any product or service where Goat Finance LLC is identified as the contracting entity or controller.

Phase 1 processing is generally covered by the applicable Phase 1 Privacy Notice. The Global Privacy Policy explains the general phase-based model and controller handoff process.

4. How Goat Finance LLC Receives Personal Data

Goat Finance LLC may receive personal data from:

  1. you directly;

  2. your authorized representative;

  3. your company or employer;

  4. Goat Finance SAGL or another Goat Finance entity as part of the Phase 1 to Phase 2 handoff;

  5. shared Goat Finance systems;

  6. KYC/KYB providers;

  7. sanctions, PEP and adverse media screening providers;

  8. blockchain analytics providers;

  9. fraud prevention providers;

  10. banking, payment, settlement, liquidity or infrastructure partners;

  11. public registers, public databases or government sources;

  12. regulators, courts, law enforcement authorities or other competent authorities, where applicable.

The Phase 1 to Phase 2 handoff may include identity information, onboarding responses, documents, screening results, risk assessment information, eligibility outcomes, product route information and records of notices or terms shown during Phase 1.

5. Purposes Specific to Goat Finance LLC

Goat Finance LLC may process personal data for the general purposes described in the Goat Finance Global Privacy Policy and, specifically, to:

  1. complete LLC Phase 2 onboarding;

  2. verify identity, business information, beneficial ownership and authority to act;

  3. conduct KYC, KYB, customer due diligence and enhanced due diligence;

  4. screen customers, representatives, beneficial owners, counterparties, wallets and transactions against sanctions, OFAC, PEP, adverse media, fraud and risk databases;

  5. assess source of funds and source of wealth;

  6. assess eligibility for LLC products or services;

  7. determine whether partner-supported services require additional onboarding, approval, disclosures or data sharing;

  8. provide, administer, monitor, suspend or terminate approved LLC products or services;

  9. review, process, settle, return, reject or investigate transactions;

  10. comply with U.S. AML/CFT, sanctions, OFAC, regulatory, tax, audit, reporting and recordkeeping obligations;

  11. prevent fraud, cybercrime, misuse, sanctions evasion, money laundering, terrorist financing and other unlawful activity;

  12. respond to regulator, law enforcement, court, tax authority, partner, banking provider or payment provider requests;

  13. maintain records of legal documents, notices, disclosures, acceptances and acknowledgments;

  14. establish, exercise or defend legal claims.

6. Legal Bases for EU/EEA and UK Individuals

Where EU GDPR or UK GDPR applies to Goat Finance LLC’s processing, Goat Finance LLC may rely on one or more of the following legal bases:

Goat Finance LLC’s legitimate interests may include operating secure and compliant services, preventing fraud and financial crime, protecting customers and partners, enforcing terms and policies, managing legal and regulatory risk, maintaining records, and defending legal rights.1

7. Swiss Individuals

Where Swiss data protection law applies to Goat Finance LLC’s processing, Goat Finance LLC processes personal data in accordance with applicable Swiss privacy principles, including transparency, proportionality, purpose limitation, security, accuracy and lawful disclosure requirements.

Where personal data is transferred from Switzerland to the United States or another country, Goat Finance LLC will apply appropriate safeguards where required by applicable law.

8. U.S. Privacy Disclosures

Where U.S. privacy laws apply, this Privacy Notice supplements the U.S. privacy information in the Goat Finance Global Privacy Policy and any notice at collection presented to you.

Goat Finance LLC may process the following categories of personal information:

  1. identifiers;

  2. contact information;

  3. government identification information;

  4. financial information;

  5. commercial information;

  6. internet, device and network activity information;

  7. approximate geolocation information derived from IP address or onboarding data;

  8. professional or employment information;

  9. business representative information;

  10. sensitive personal information where necessary for identity verification, KYC/KYB, AML/CFT, sanctions screening, security, legal obligations or service provision;

  11. inferences used for risk, fraud, eligibility, routing or compliance assessment;

  12. communications and support information.

Goat Finance LLC does not sell personal information for money.

Unless a specific notice states otherwise, Goat Finance LLC does not share personal information for cross-context behavioral advertising as those terms may be defined under applicable U.S. state privacy laws.

Depending on the applicable U.S. state law, you may have rights to know, access, delete, correct, obtain a portable copy, opt out, limit certain uses of sensitive personal information, appeal a privacy rights decision and not be discriminated against for exercising applicable privacy rights. The California Attorney General explains that the CCPA requires a notice at collection to list the categories of personal information collected and the purposes for which they are used. (oag.ca.gov)

9. Sensitive Data, Biometric Data and Criminal-Offence Related Data

Goat Finance LLC may process sensitive, biometric, sanctions-related, adverse media or criminal-offence related information where necessary or permitted for:

  1. identity verification;

  2. liveness or selfie checks;

  3. KYC/KYB;

  4. AML/CFT compliance;

  5. sanctions and OFAC screening;

  6. PEP and adverse media screening;

  7. fraud prevention;

  8. cybersecurity;

  9. regulatory compliance;

  10. legal claims;

  11. partner-supported service review.

Goat Finance LLC does not use sensitive personal information to infer characteristics unless a specific notice states otherwise and applicable law permits it.

10. Sharing Within Goat Finance

Goat Finance LLC may share personal data with other Goat Finance entities, personnel, contractors, shared service functions and global roles where necessary for:

  1. Phase 2 onboarding;

  2. customer due diligence;

  3. enhanced due diligence;

  4. compliance review;

  5. transaction monitoring;

  6. fraud prevention;

  7. customer support;

  8. technology operations;

  9. legal or regulatory compliance;

  10. internal governance;

  11. reporting;

  12. audit;

  13. recordkeeping;

  14. security.

Personal data is not made available to all Goat Finance entities by default.

Access is granted on a need-to-know basis, taking into account the relevant product, entity, phase, role, case assignment, compliance purpose, legal requirement, transfer requirement and security control.

11. Sharing With Partners and Providers

Goat Finance LLC may share personal data with third parties where necessary or permitted for the purposes described in this Privacy Notice, the Global Privacy Policy, the applicable Product Terms, or a product-specific privacy or partner data-sharing disclosure.

These third parties may include:

  1. KYC/KYB providers;

  2. identity verification providers;

  3. sanctions, OFAC, PEP and adverse media screening providers;

  4. blockchain analytics and wallet screening providers;

  5. fraud prevention providers;

  6. banks;

  7. payment providers;

  8. settlement providers;

  9. liquidity providers;

  10. execution providers;

  11. technology, cloud, CRM, communication and support providers;

  12. auditors, lawyers, tax advisers and professional advisers;

  13. regulators, courts, law enforcement authorities, tax authorities and financial intelligence units;

  14. Other partners, where a partner-supported route applies.

Where a product or service is supported by a partner, that partner may act as a processor, independent controller, joint controller, regulated provider or service provider depending on the facts and the applicable partner framework.

Product-specific privacy or partner data-sharing disclosures will provide additional information where relevant.

12. International Transfers

Goat Finance LLC is based in the United States.

If you are located outside the United States, including in the EU/EEA, Switzerland or the United Kingdom, your personal data may be transferred to, accessed from or processed in the United States and other countries.

International transfers may occur because Goat Finance LLC uses group resources, shared systems, vendors, service providers, compliance tools, payment providers, banking providers, blockchain analytics tools, liquidity providers, settlement providers or infrastructure partners located abroad.

Where required, Goat Finance LLC will use appropriate safeguards, such as:

  1. adequacy decisions;

  2. standard contractual clauses;

  3. UK transfer safeguards;

  4. Swiss-recognized transfer safeguards;

  5. transfer assessments;

  6. contractual safeguards;

  7. technical and organizational measures;

  8. access restrictions;

  9. encryption, minimization or pseudonymization where appropriate.

13. Retention

Goat Finance LLC retains personal data for as long as necessary for onboarding, service provision, AML/CFT, sanctions, OFAC compliance, transaction monitoring, tax, audit, legal, regulatory, security, dispute resolution, recordkeeping and governance purposes.

Unless a shorter or longer period applies under applicable law or a specific retention notice, onboarding, customer due diligence and transaction records may generally be retained for up to 10 years after the end of the relationship, the relevant transaction or the relevant decision.

Rejected, declined or incomplete applications may be retained where necessary for compliance, fraud prevention, risk management, legal, regulatory, audit or recordkeeping purposes.

14. Automated Screening, Profiling and Risk Assessment

Goat Finance LLC may use automated or semi-automated tools to support:

  1. identity verification;

  2. document verification;

  3. liveness checks;

  4. sanctions and OFAC screening;

  5. PEP and adverse media screening;

  6. fraud detection;

  7. wallet screening;

  8. blockchain analytics;

  9. transaction monitoring;

  10. customer risk rating;

  11. eligibility and routing review;

  12. jurisdiction-aware product controls.

These tools may generate alerts, matches, scores, recommendations or risk indicators.

Goat Finance LLC may use these outputs to support human review, compliance decisions, onboarding decisions, transaction review, suspension, rejection or escalation.

Goat Finance LLC does not intend to make decisions based solely on automated processing that produce legal or similarly significant effects unless permitted by applicable law and appropriate safeguards are applied.

15. Your Rights

Depending on applicable law, you may have rights to:

  1. access your personal data;

  2. receive information about processing;

  3. correct inaccurate data;

  4. request deletion;

  5. restrict processing;

  6. object to processing;

  7. receive data portability;

  8. withdraw consent where processing is based on consent;

  9. challenge or request review of certain automated decisions where applicable;

  10. lodge a complaint with a supervisory authority;

  11. exercise U.S. state privacy rights where applicable.

These rights may be limited where processing is required or permitted for AML/CFT, sanctions, OFAC compliance, fraud prevention, legal obligations, regulatory compliance, legal claims, security, audit, tax, partner requirements, transaction monitoring or recordkeeping purposes.

16. Supervisory Authorities and Complaints

Depending on your location and applicable law, you may have the right to lodge a complaint with:

  1. your local EU/EEA data protection authority;

  2. the UK Information Commissioner’s Office;

  4. a U.S. state privacy regulator or attorney general, where applicable.
